Terms and Conditions

Who you are contracting with

These terms are a contract between you (or the business you represent) and SaidToPaid, the provider of the SaidToPaid service. If you accept these terms on behalf of a business, you confirm you have authority to bind it. If you are signing up as an individual, you confirm you are of legal age.

Acceptance

By creating an account, subscribing, or continuing to use the service, you agree to these terms. If you do not agree, do not use the service.

The service

SaidToPaid lets a trade or service business record spoken job notes and turn them into transcripts, estimates, invoices, booking links and customer messages, with tools to track payment. Output is an AI-assisted draft. You remain responsible for checking and approving work descriptions, prices, VAT treatment, payment terms and everything you send to your customers. The service is not accounting, tax or legal advice.

Your account

You must give accurate information and keep it up to date, keep your sign-in details confidential, and you are responsible for activity under your account and the accounts of users you invite. Tell us promptly if you suspect unauthorised access.

Acceptable use

You must not:

• Use the service unlawfully, or to send fraudulent, misleading or unsolicited bulk messages.
• Infringe anyone's intellectual property or privacy rights, or upload recordings you have no right to use.
• Interfere with the security or integrity of the service, including introducing malware, probing, penetration testing without permission, or scraping.
• Reverse engineer, resell or redistribute the service, or work around plan limits or technical controls.

Your content

You keep ownership of the recordings, records and documents you put into the service. You grant us a limited licence to host, process and transmit them solely to provide and support the service, including sending them to our AI processor to generate drafts.

Our intellectual property

SaidToPaid owns the service, its software, documentation, templates and branding, and all intellectual property in them. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, within the limits of your plan.

Plans, payment and subscriptions

Subscriptions are billed monthly in advance per business, with the number of included users shown on your plan. Extra users can be added and are charged pro-rata for the remainder of the billing period. Where a free trial is offered, it converts to the selected paid plan at the end of the trial unless cancelled beforehand. Prices are shown before you pay and may include tax depending on your location.

Payment, billing, tax, currency, cancellation and refund mechanics are handled by our reseller and are governed by the Paddle Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms. You can cancel at any time from your billing page; access continues until the end of the period you have paid for.

Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Service levels

We work to keep the service available and accurate, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and factors outside our control may affect availability. AI-generated output may be inaccurate and must be reviewed before use.

Warranties

To the fullest extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

Liability

To the fullest extent permitted by law, our total liability arising out of or in connection with these terms is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect, consequential or special losses, including loss of profit, revenue, data or goodwill. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

Indemnity

You will indemnify us against claims arising from your content, your use of the service in breach of these terms, or your unlawful use of the service.

Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where reasonable we will warn you first and give you a chance to put things right. You may close your account at any time.

When access ends you can export your data for 30 days, after which we delete or anonymise it in line with our Privacy Notice and our legal retention duties.

Changes to these terms

We may update these terms. We will give reasonable notice of material changes; continuing to use the service after they take effect means you accept them.

General

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
